1. Introduction
These Terms and Conditions (“Terms”) govern the use of the online advertising booking platform operated by Ora Marketing Networks Ltd, a company incorporated in Nairobi, Kenya (“Ora Marketing Networks”, “we”, “our”, “us”). By accessing or using our website and submitting an advertisement for placement on in-cabin screens operated by Enabled Shuttle Services, you (“Client”, “you”, “your”) agree to be bound by these Terms.
If you do not agree to these Terms, you must not proceed with the booking or use our services.

2. Eligibility
By booking an advertisement through our platform, you confirm that:
• You are at least 18 years old.
• You are legally authorized to represent the business or organization submitting the advertisement.
• All information provided during booking is accurate, complete, and truthful.

3. Advertising Content Submission
3.1 Clients are required to submit:
• A business description and contact details
• A video advertisement in the required format
• Any additional files or information requested during the booking process
3.2 The Client is fully responsible for ensuring that submitted content:
• Is original and legally owned by the Client
• Does not infringe any third-party copyrights, trademarks, or intellectual property
• Meets the technical specifications provided on the website
3.3 Ora Marketing Networks may request edits, modifications, or additional information if the submitted content is incomplete or does not meet our standards.

4. Content Review & Approval
4.1 All advertisements undergo a mandatory review and approval process.
4.2 Ora Marketing Networks reserves the right, at its sole discretion, to reject any advertisement that:
• Contains false, misleading, or inappropriate information
• Promotes illegal products, services, or activities
• Contains obscene, defamatory, discriminatory, or offensive material
• Violates any applicable laws, regulations, or advertising standards
4.3 If an advertisement is rejected, the Client will be notified and may submit a revised version. Rejection does not automatically entitle the Client to a refund.

5. Program Compilation & Broadcast
5.1 Approved advertisements will be included in a compiled program with a maximum running time of one (1) hour.
5.2 The program will be remotely uploaded to in-cabin screens in public buses operated by Enabled Shuttle Services.
5.3 Advertisements will run in loops during the selected weekly period based on:
• The advertisement’s selected duration (e.g., 20s, 40s, 60s)
• The number of weeks booked and paid for
5.4 Ora Marketing Networks does not guarantee:
• Exact frequency of ad exposure
• Specific viewer numbers
• Uninterrupted playback, as screen operation is subject to bus routes, device functionality, and external conditions

6. Payment Terms
6.1 Payment must be made in full at the time of booking via approved payment methods, including card payments or mobile money (e.g., M-Pesa).
6.2 Total cost is computed based on:
• Selected advertisement length
• Number of weeks selected
6.3 Payments are non-refundable except where required by law or at Ora Marketing Networks’ discretion.

7. Scheduling & Display Period
7.1 The display period begins on the Wednseday of the week selected or the next available cycle, depending on approval timelines.
7.2 Any delays caused by late submission, failed payment, or unapproved content may affect scheduling. Ora Marketing Networks is not liable for delays caused by the Client.

8. Client Responsibilities
The Client agrees to:
• Ensure all submitted content is lawful and compliant
• Secure all necessary rights, licenses, and permissions
• Respond promptly to requests for revisions
• Review and verify booking details before payment

9. Intellectual Property
9.1 The Client retains ownership of their advertisement content.
9.2 The Client grants Ora Marketing Networks a limited, non-exclusive license to:
• Review, process, edit, and upload the advertisement
• Display and broadcast the advertisement during the booked period
9.3 Ora Marketing Networks owns all intellectual property related to the website, platform, scheduling system, and compilation program.

10. Limitation of Liability
To the fullest extent permitted by Kenyan law, Ora Marketing Networks Ltd shall not be liable for:
• Loss of profits, sales, business, or revenue
• Loss of data or content
• Indirect, incidental, or consequential damages
• Technical failures, network outages, or interruptions in playback
• Delays caused by third-party service providers, including Enabled Shuttle Services
Our maximum liability shall not exceed the amount paid by the Client for the specific booking.

11. Indemnification
The Client agrees to indemnify and hold harmless Ora Marketing Networks Ltd, its employees, partners, and affiliates from any claims, damages, or liabilities arising from:
• Submitted advertisement content
• Intellectual property violations
• Misrepresentations or breach of these Terms

12. Modifications to Terms
Ora Marketing Networks reserves the right to update or modify these Terms at any time. Continued use of the website constitutes acceptance of the updated Terms.

13. Termination
We may suspend or terminate a booking or access to our platform if:
• The Client violates these Terms
• Submitted content is unlawful or harmful
• Payment issues arise
No refunds will be issued for terminated bookings resulting from client violations.

14. Governing Law & Jurisdiction
These Terms shall be governed by the laws of the Republic of Kenya.
Any disputes shall be resolved in the courts of Nairobi, Kenya.

15. Acceptance of Terms
By clicking “I Agree”, submitting an advertisement, or making payment, the Client confirms that they have read, understood, and agree to these Terms and Conditions.
